Terms and Conditions

Livstate Real Estate operates the platform and services provided under the brand name "Agents First." While "Agents First" is the marketing brand, all legal obligations and responsibilities rest solely with Livstate Real Estate Brokerage LLC. Any agreements or liabilities arising from the use of the platform are binding on Livstate Real Estate.

1. Overview

Welcome to Livstate Real Estate. These Terms and Conditions (“Terms”) govern your access to and use of our platform located at [agentsfirst.ae] (“Platform”). Livstate Real Estate provides referrals to licensed real estate agents in the UAE, including early access to earned commissions.

By using our services, you confirm that you have read, understood, and agreed to be bound by these Terms and our [Privacy Policy]. If you do not accept these Terms, you must not use our services.

2. Our Service: Commission Advance

Livstate Real Estate provides licensed UAE real estate agents early access to earned commissions (“Advance”). By applying for and using this service, you agree:

For transactions with a commissionable amount of less than AED 500,000, a standard commission rate of 15% will apply. For transactions with a commissionable amount exceeding AED 500,000, the commission rate will be subject to review and must be discussed and approved by LIVSTATE’s management before finalization.

You are solely responsible for providing accurate and truthful information and documentation related to each transaction.
You authorise us to contact your brokerage or any relevant third party for verification purposes.
You consent to KYC, AML, and bank verification checks as required by UAE regulations.

Livstate also reserves the right to conduct ongoing monitoring of transactions, require additional documentation when suspicious patterns are detected, and immediately suspend services upon discovery of potential KYC, AML, or regulatory violations.

3. Eligibility

You are eligible to use our services only if you:

  • Are at least 18 years of age.
  • Hold a valid UAE real estate broker’s license issued by the Dubai Land Department (DLD) or other UAE licensing body.
  • Maintain a UAE-based bank account in your personal name.
  • Submit all required documents as requested by us.

We reserve the right to approve or reject any application at our sole discretion without providing any reason.

4. Account Security

You agree to maintain the confidentiality of your account login details. Any activity under your account will be considered as authorised by you. You are responsible for all actions taken through your account.

5. Deal Submission and Review

By submitting a deal for a commission advance, you:

  • Represent that you are legally entitled to receive the stated commission.
  • Warrant that the deal has been legally concluded and is free from any third-party claims or disputes.
  • Acknowledge that deal approval is based on our internal risk criteria and not guaranteed.
  • Agree that we may, at our discretion, verify transaction details with your brokerage or any party involved.
  • Understand that approval of any deal by Livstate Real Estate does not constitute a guarantee or endorsement of the deal’s validity, nor shall Livstate Real Estate be liable for any resulting consequences if the deal is later disputed or cancelled.

Livstate also reserves the right to directly contact the buyer, bank, other agents, or any related parties at any time throughout the life cycle of the transaction—not limited to initial deal review to conduct ongoing verification.

We may reject applications or rescind approval at any time if fraud, misrepresentation, or non-compliance is detected.

6. Disbursement of Funds

Upon approval, Livstate Real Estate will transfer up to 85% of your verified commission amount to your registered UAE bank account, provided that the Sale and Purchase Agreement (SPA) has been duly signed. Transfer timelines are subject to banking hours and processing delays.

Livstate Real Estate does not offer credit, lending, or loan services, and the Advance does not constitute financial lending under UAE Central Bank regulations.

Livstate Real Estate shall not be liable for disbursements made to a bank account provided by you, even if such account is incorrect, unauthorised, or compromised.

7. Legal Compliance & Indemnification

You are responsible for complying with your brokerage's internal policies and UAE laws. By using our services, you:

  • Confirm that all necessary disclosures and consents have been made to your brokerage.
  • Acknowledge that Livstate Real Estate bears no responsibility for any violation of brokerage agreements, DLD regulations, or applicable laws.
  • Agree to indemnify and hold harmless Livstate Real Estate, its owners, directors, employees, and affiliates from any and all losses, liabilities, damages, costs, or legal fees arising out of:
    • Your breach of these Terms;
    • Your failure to obtain necessary approvals or permissions;
    • Any misrepresentation made by you;
    • Any dispute between you and your brokerage or client.

Livstate Real Estate does not provide legal advice or intervene in disputes between agents and their brokerage firms. You must seek independent legal counsel regarding your contractual obligations.

8. No Liability

To the maximum extent permitted by applicable law, Livstate Real Estate disclaims all warranties, express or implied, regarding the accuracy, reliability, or availability of the services. Under no circumstances shall Livstate Real Estate be liable for:

  • Any indirect, incidental, punitive, or consequential damages.
  • Business interruption, data loss, or loss of income.
  • Any delays or failure to perform due to factors outside of our control.

You agree that our total liability to you in any circumstance shall not exceed the total service fees paid by you to us.

9. Intellectual Property

All content, data, software algorithms, system processes, and platform materials provided by Livstate Real Estate (including “Agents First”) are the exclusive intellectual property of Livstate Real Estate. Agents are strictly prohibited from copying, duplicating, reverse engineering, or utilizing such proprietary materials for personal benefit, competitive activity, or redistribution without prior written consent.

10. Force Majeure

Livstate Real Estate shall not be held liable for any failure or delay in performing its obligations under these Terms where such failure or delay arises from events beyond its reasonable control. These may include, but are not limited to, acts of God, natural disasters, war, terrorism, pandemics, labor strikes, government restrictions, civil unrest, power outages, internet failures, or actions of third-party service providers. In such cases, affected obligations shall be suspended for the duration of the force majeure event.

11. Termination of Contract

Livstate Real Estate reserves the right, at its sole discretion and without prior notice, to immediately suspend or terminate your access to the Platform and/or any commission advance services if:

  • You breach any provision of these Terms and Conditions;
  • You provide false, misleading, or incomplete information or documentation;
  • You are found to have engaged in fraudulent, illegal, or unethical conduct;
  • You fail to comply with any applicable UAE law, regulation, or directive, including but not limited to anti-money laundering (AML) and know-your-customer (KYC) requirements;
  • You lose your real estate license, or your license is suspended, revoked, or otherwise rendered invalid;
  • Your brokerage notifies us of your termination, suspension, or any dispute affecting your entitlement to commission;
  • You become subject to bankruptcy, insolvency, liquidation, or similar proceedings;
  • There is a change in your status or circumstances that, in our sole opinion, increases the risk to Livstate Real Estate;
  • We are required to do so by law, regulation, or competent authority.

Livstate further reserves the right to immediately suspend or terminate services if it suspects fraud, identifies a regulatory or legal violation, detects a change in your licensing status, receives unverified documentation, or identifies a breach of your brokerage’s rules or policies.

Livstate Real Estate shall not be liable to you or any third party for any termination or suspension of your account or services in accordance with these Terms.

Upon termination (by either party):

  • All outstanding amounts advanced to you, including the service fee and any applicable charges, shall become immediately due and payable to Livstate Real Estate, regardless of the original payment schedule.
  • Your access to the Platform and all services will be revoked.
  • Any pending commission advance applications will be cancelled.
  • Livstate Real Estate reserves the right to set off any amounts owed by you against any future commissions or other payments due to you.
  • You must promptly return or destroy all confidential information and materials belonging to Livstate Real Estate.
  • Termination does not affect any accrued rights or remedies of Livstate Real Estate, including the right to recover any losses or damages arising from your breach of these Terms.
  • Any provisions of these Terms which by their nature should survive termination (including but not limited to indemnities, limitations of liability, confidentiality, and governing law) shall continue in full force and effect.

12. Data Protection

We collect and process personal data in accordance with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL). For more details, refer to our [Privacy Policy].

13. Modification of Terms

We reserve the right to update or modify these Terms at any time. We will update the “Effective Date” when changes are made.

Where material changes are made, Livstate Real Estate will notify you via email or a notice on the Platform. Continued use after such notice constitutes acceptance of the updated Terms.

It is your responsibility to review the most current version.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the United Arab Emirates and the Emirate of Dubai. Any disputes arising under or in connection with these Terms shall be exclusively resolved by the Dubai Courts.
